1. Agreement to Terms

3. User Obligations and Acceptable Use

• Service providers will complete work to your satisfaction
• Service providers will meet any specific qualifications beyond basic licensing and insurance

4.3 Pricing and Payment

Important Information About Pricing:

• We do NOT set prices: Pricing for locksmith services is determined solely by the independent service providers
• Website pricing is informational only: Any pricing information on our Site is for general reference and may not reflect actual charges
• You pay the service provider: All payments for locksmith services are made directly to the service provider, not to us
• Get written quotes: Always request written quotes from service providers before authorizing work
• Confirm pricing: Verify all pricing, fees, and payment terms directly with the service provider before services begin

5. Relationship with Service Providers

5.1 Independent Contractors

All locksmith service providers in our network are independent contractors who operate their own businesses. They are not our employees, agents, or representatives. We do not:

• Control how service providers perform their work
• Set their hours, schedules, or availability
• Determine their pricing or payment terms
• Supervise their work methods or techniques
• Provide them with tools, equipment, or supplies
• Guarantee their credentials beyond basic verification at time of network entry

5.2 Service Provider Vetting

We make reasonable efforts to verify that service providers in our network maintain:

• Valid Mississippi state locksmith licensing (where required)
• General liability insurance
• Bonding (where applicable)
• Business registration with relevant state and local authorities

However: We do not continuously monitor service providers after initial verification. Licenses may expire, insurance may lapse, and credentials may change. You should independently verify service provider credentials before authorizing work.

5.3 Service Provider Actions

Service providers are solely responsible for:

• The quality, legality, and safety of their work
• Their pricing, billing, and collection practices
• Their compliance with all applicable laws and regulations
• Their treatment of customers and property
• Any damages or injuries caused by their actions or omissions
• Their own taxes, licenses, permits, and insurance
• Warranties or guarantees they offer on their work

6. Disclaimers and Limitations of Liability

6.1 No Warranties

• Maximum Liability Cap: Our total liability to you for any claims arising from or related to these Terms or our services shall not exceed $100 or the amount you paid us in the past 12 months, whichever is greater

6.3 Specific Disclaimers

We specifically disclaim liability for:

• Property damage caused by service providers during lockout services or other work
• Theft or loss of property during or after service provider visits
• Personal injuries sustained during service provider work
• Pricing disputes between you and service providers
• Service provider failure to respond or complete work
• Quality issues with locks, keys, or security systems installed by service providers
• Unauthorized access to your property by service providers
• Service provider bankruptcy, business closure, or inability to honor warranties
• Service provider fraud, misrepresentation, or illegal activities

7. Indemnification

You agree to defend, indemnify, and hold harmless Pine Belt Locksmith, its owners, officers, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from:

• Your use of and access to our Site or services
• Your violation of these Terms
• Your violation of any third-party rights, including service providers
• Any disputes between you and service providers
• Any false, misleading, or fraudulent information you provide
• Your violation of any applicable laws or regulations

8. Dispute Resolution

8.2 Binding Arbitration

If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Terms:

• Arbitration shall be conducted in Forrest County, Mississippi
• The arbitration shall be conducted by a single arbitrator
• The arbitrator’s decision shall be final and binding
• Judgment on the arbitration award may be entered in any court having jurisdiction
• Each party shall bear its own costs and attorney’s fees unless the arbitrator determines otherwise

8.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against us.

8.4 Exceptions to Arbitration

Notwithstanding the arbitration requirement, either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

8.5 Time Limitation on Claims

You agree that any claim or cause of action arising from or related to your use of our Site or services must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred.

9. Governing Law and Jurisdiction

Subject to the arbitration provisions above, any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Forrest County, Mississippi, and you consent to personal jurisdiction in such courts.
